Senior Corporate Counsel

You will advise on commercial transactions, corporate governance, fundraising, acquisitions, and day-to-day legal matters. You will draft and negotiate agreements, oversee international entities and board activities, manage outside counsel, monitor regulatory developments, mitigate legal risks, and support money transmitter license applications.

Responsibilities

• Draft, negotiate, and manage complex commercial agreements
• Lead legal reviews for crypto- and payment-related contracts
• Oversee corporate governance for US and global entities
• Manage board secretarial duties and entity formations or dissolutions
• Monitor regulatory requirements across jurisdictions
• Provide legal support for fundraising rounds
• Execute mergers and acquisitions, including due diligence and agreement negotiation
• Manage outside counsel relationships
• Advise internal stakeholders on legal issues
• Identify legal risks and implement mitigation strategies
• Develop legal templates and playbooks
• Support money transmitter license applications

Requirements

• J.D. from an accredited US law school
• Active bar membership in at least one US jurisdiction
• At least 5 years of experience in a high-growth in-house environment
• Experience in fintech, payments, or crypto/web3 is highly preferred
• Ability to communicate legal concepts clearly to non-lawyers
• Ability to work in an ambiguous and fast-paced global regulatory environment
